WHITCROSS INTERIORS (WXI) COURSE TERMS AND CONDITIONS AGREEMENT
THIS AGREEMENT is made between Whitcross Interiors ("WXI") and you ("the Client").
BY ENROLLING IN THIS COURSE, clicking “I Agree”, and/or providing payment for the course, you agree to the following terms and conditions:
Provision of Services: WXI will provide the Client with training videos, handouts, worksheets, and recommended resources (collectively, "Course Materials") through a platform chosen by WXI.
Payment Terms: The Client agrees to pay the full cost of the course, either in a lump sum or as per any agreed payment plan. Failure to make timely payments will result in WXI withholding Course Materials and imposing a late fee.
Liability and Indemnification Provisions:
Acceptance of Liability: The Client expressly acknowledges and agrees that they are solely responsible for any and all liabilities, claims, damages, expenses, losses, or injuries that may arise from or relate to their use of the course materials and information provided by WXI. The Client accepts all risks associated with the application of knowledge or use of information obtained from the course.
Waiver and Indemnification: The Client hereby waives any claims against WXI relating to the course and agrees to indemnify, defend, and hold harmless WXI, its directors, officers, employees, agents, contractors, successors, and assigns from any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with the Client's use of the course materials, violation of these terms, or violation of any rights of a third party.
Compliance with Local Codes and Laws: The Client is solely responsible for ensuring that all activities undertaken as a result of the course comply with applicable local, state, national, and international codes, laws, and regulations. The Client acknowledges that WXI does not provide advice or guidance on compliance with such codes and laws, and the Client agrees not to rely on any statements made by WXI regarding legal compliance or interpretation of laws and codes.
No Reliance on WXI Statements: The Client acknowledges that any statements made by WXI, its employees, contractors, or agents regarding codes, laws, and regulations are for informational purposes only and should not be construed as legal or professional advice. The Client agrees to seek independent legal or professional advice to verify compliance with all applicable laws and regulations.
Limitation of Liability: To the fullest extent permitted by law, WXI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the Client's access to or use of or inability to access or use the course materials; (b) any conduct or content of any third party related to the course; or (c) unauthorized access, use, or alteration of the Client's transmissions or content.
Intellectual Property and Use of Course Materials:
Limited License. This Agreement between Whitcross Interiors (WXI) and the Client grants the Client a limited, non-exclusive, non-transferable, and revocable license to access and use the course materials provided by WXI for personal, non-commercial purposes only. This license is granted solely for the purpose of the Client's education and personal development in the field of interior design and related subjects as taught in the course. The Client acknowledges that no other rights are being transferred or granted under this Agreement.
Intellectual Property Rights
Ownership: The Client acknowledges and agrees that all course materials, including but not limited to training videos, handouts, worksheets, recommended resources, and any other related documentation or materials provided as part of the course, are the exclusive property of WXI. All intellectual property rights in the course materials are and shall remain the property of WXI.
Restrictions on Use: The Client shall not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the course materials, in any form or by any means, except as explicitly authorized under this limited license.
Prohibition of Recording and Redistribution: The Client is expressly prohibited from recording, whether in audio, video, or any other format, any part of the course materials. The Client is also prohibited from distributing, sharing, or making the course materials available to any third party, whether for free or for a fee. This includes, but is not limited to, uploading course materials to the internet, sharing login details with others, and distributing printed or digital copies of the materials.
Consequences of Unauthorized Use: Any unauthorized use of the course materials by the Client will be considered a breach of this Agreement and will result in immediate termination of the license granted herein. Additionally, such unauthorized use may subject the Client to legal action by WXI, seeking remedies including, but not limited to, damages and injunctive relief.
Acknowledgment of WXI's Rights: The Client acknowledges that, WXI retains the right to withdraw, suspend, or discontinue any aspect or feature of the course materials at any time, without notice, including the right to revoke the license granted herein.
No Transfer of Rights: The Client acknowledges that the license granted under this Agreement does not constitute a transfer or sale of WXI's intellectual property rights. WXI reserves all rights not expressly granted under this Agreement.
Access Duration: The Client will have access to the Course Materials for a stipulated period, starting from the commencement date of the course.
Respectful Conduct: The Client agrees to be respectful towards WXI staff, contractors, and fellow course members. WXI reserves the right to remove any participant for inappropriate behavior.
No Refund Policy: All course sales are final. No refunds will be provided under any circumstances.
No Guarantee of Results: The Client understands that the results of the course are not guaranteed and may vary between individuals.
Recording of Sessions: The Client is aware that only WXI is permitted to record sessions of the course. The Client shall not record, in any form, any part of the sessions. Any unauthorized recording is a breach of this Agreement and may lead to legal action and termination of the Client's access to the Course Materials.
Photo & Video Release: The client acknowledges and agrees that photographs, audio recordings, and video footage may be taken during the event. These materials may be used by WXI for marketing, promotional, and educational purposes, including but not limited to social media, website content, and printed materials.
By registering for this event, you grant WXI the irrevocable right to use and publish your image, likeness, and voice in any format, without compensation or notification. If you prefer not to be photographed or recorded, please notify us in writing before the event.
BY AGREEING TO THESE TERMS AND CONDITIONS, the Client acknowledges they have read, understood, and accepted all terms as stated above. This Agreement represents the entire understanding between WXI and the Client regarding the course and supersedes any prior statements or agreements.
